These Terms of Service ("Terms") govern your use of the Samwell mobile application ("App") operated by Samwell ("we," "us," or "our"). By creating an account or using the App you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.
We may update these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use after notice constitutes acceptance.
You must be at least 18 years old to use Samwell. By using the App you represent that you are at least 18 years of age, have the legal capacity to enter a binding agreement, and are using the App for lawful purposes within the United States. The App is not intended for use outside the United States.
Samwell is a personal tax organization tool designed to help freelancers, independent contractors, and gig workers track and organize information relevant to their annual tax filing. The App provides:

SAMWELL IS NOT A TAX PREPARATION SERVICE, TAX ADVISOR, CERTIFIED PUBLIC ACCOUNTANT, ENROLLED AGENT, REGISTERED INVESTMENT ADVISOR, OR FINANCIAL INSTITUTION OF ANY KIND.
ALL INFORMATION, ESTIMATES, CALCULATIONS, IRS READINESS SCORES, POTENTIAL SAVINGS FIGURES, AND DEDUCTION AMOUNTS PROVIDED BY THE APP ARE ESTIMATES ONLY.
These estimates are based on IRS-published rates and national averages — not on your actual income, expenses, or individual tax situation. They do not constitute tax advice, financial advice, legal advice, or accounting advice of any kind. Always consult a qualified tax professional before making tax-related decisions.
You specifically acknowledge and agree that:
To use Samwell you must create an account with a valid email address and password. You agree to provide accurate information, keep your password secure, not share your credentials, notify us immediately of any unauthorized access at hello@samwell.app, and accept responsibility for all activity under your account.
You retain ownership of all personal data you submit to Samwell. By using the App you grant us a limited, non-exclusive, royalty-free license to store, process, and display your data solely to provide the App service to you. We do not use your data for any other purpose. You are responsible for the accuracy of all information you enter.
You agree not to:
The Samwell App, including its design, features, algorithms, and content (excluding your personal data), is owned by Samwell and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
Your use of the App is governed by our Privacy Policy, incorporated into these Terms by reference. Please review our Privacy Policy at samwell-legal/privacy.
Samwell uses Supabase, Inc. for database, authentication, and backend infrastructure, and Resend, Inc. for transactional email delivery. Your use of Samwell is subject to Supabase's Terms of Service (https://supabase.com/terms) and Resend's Terms of Service (https://resend.com/terms). We do not use any other third-party services. We do not sell, rent, or share your personal information with any third party for marketing or advertising purposes.
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE AVAILABLE AT ALL TIMES OR THAT THE INFORMATION IN THE APP IS ACCURATE, COMPLETE, OR CURRENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMWELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: TAX LIABILITY, PENALTIES, INTEREST, OR FINES ARISING FROM YOUR TAX FILINGS; FINANCIAL LOSSES OF ANY KIND; LOSS OF DATA; ERRORS IN DEDUCTION ESTIMATES; OR ANY DECISIONS MADE BASED ON INFORMATION PROVIDED BY THE APP.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).
You agree to indemnify and hold harmless Samwell and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of applicable law.
You may delete your account and all associated data at any time directly within the App via Profile > Delete Account. This action is immediate and irreversible — all your data including profile information, survey responses, tax estimates, receipts, and checklist records is permanently removed. You may also request deletion by emailing hello@samwell.app. We may suspend or terminate your access at any time for violation of these Terms, in which case we will delete your account data as described in our Privacy Policy.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Austin, Texas, under the American Arbitration Association's Consumer Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary and the remaining Terms shall continue in full force.
These Terms and our Privacy Policy constitute the entire agreement between you and Samwell regarding your use of the App and supersede all prior agreements.
